Parties and Acceptance
These Terms & Conditions (“Terms”) govern the relationship between LAWL (Legal Automation Work Flow Labs LLP) (LLPIN: ACV-1779), a limited liability partnership registered under the Limited Liability Partnership Act, 2008, with its registered office at:
Legal Automation Work Flow Labs LLP
Office No. 3, Jivdani Banglow, Jain Mandir Road
Virar West – 401303, Maharashtra, India
(“LAWL”, “we”, “us”, “our”), and any individual or entity (“User”, “you”) who accesses or uses the LAWL platform, website (www.lawl.in), or mobile application (collectively, the “Platform”).
Acceptance occurs when you: (a) click ‘I Agree’ or an equivalent affirmative button; (b) complete registration; or (c) access or use any part of the Platform. If you are using the Platform on behalf of a business entity, you represent that you have authority to bind that entity.
Nature of LAWL’s Services — What LAWL Is and Is Not
2.1 LAWL operates an online technology platform that connects Users with independent, verified advocates, Chartered Accountants (CAs), and Company Secretaries (CSs) registered on the Platform (‘Professionals’).
2.2 LAWL is a service provider and technology intermediary. LAWL does not employ, engage as partners, or act as agents of any Professional listed on the Platform. Each Professional is an independent third party who has separately agreed to LAWL’s Professional Onboarding Agreement.
2.3 LAWL does not control or supervise the substance, content, quality, or accuracy of any Professional Services delivered by a Professional. LAWL does not endorse, verify the accuracy of, or guarantee: (a) any advice, opinion, document, or service provided by any Professional; (b) the outcome of any legal, financial, or compliance matter; or (c) the Professional’s competence, conduct, or continued registration with their respective regulatory body.
2.4 Any professional engagement facilitated through LAWL — including consultations, document review, drafting, representation, or any other advisory service — is a direct contractual relationship strictly between the User and the Professional. LAWL is not a party to that engagement and assumes no liability for its conduct or outcome.
2.5 All content on the Platform, including general information, educational articles, FAQs, and template documents (if any), is for general informational and educational purposes only. Nothing on the Platform constitutes legal, financial, or compliance advice.
Platform Fee
3.1 LAWL charges a dynamic platform access fee (“Platform Fee”) to Users for facilitating access to Professionals and enabling the booking, communication, and payment infrastructure of the Platform. The Platform Fee is a technology and service facilitation charge; it is not a referral fee, commission on professional fees, or fee-splitting arrangement with any Professional. The Platform Fee is charged to and borne exclusively by the User and is calculated by reference to platform usage parameters (service type, duration, mode of consultation, and location) so as to maintain compliance with Rule 36 and Rule 20 of the Bar Council of India Rules and equivalent ICAI/ICSI guidelines.
3.2 The applicable Platform Fee for each transaction is calculated and displayed to you clearly before you confirm a booking or transaction.
3.3 By confirming a transaction, you agree to pay the Platform Fee in addition to any fees agreed directly with the Professional.
3.4 Platform Fees are processed by our PCI-DSS compliant payment partners. LAWL does not store full card or bank account numbers. All amounts are inclusive of applicable taxes (including Goods and Services Tax) where required by law.
3.5 Platform Fees are non-refundable except as stated in the Cancellations and Refunds section (Section 9) or as required by applicable consumer protection law.
User Eligibility and Registration
4.1 You must be at least 18 years of age to register independently on the Platform. By registering, you represent and warrant that you meet this requirement.
4.2 You agree to provide accurate, current, and complete information at registration and to keep it updated. False or misleading information may result in suspension or termination of your account.
4.3 You are responsible for maintaining the confidentiality of your account credentials. You agree to notify LAWL immediately at support@lawl.in if you suspect unauthorised access to your account.
4.4 One account per User is permitted. Account sharing is prohibited.
Booking and Consultation Process
5.1 Users may browse Professional profiles, view available time slots, and book consultations through the Platform. Bookings are confirmed only upon receipt of payment (where applicable) and confirmation from LAWL.
5.2 LAWL facilitates the connection between Users and Professionals. Once a consultation is confirmed, the User and Professional are solely responsible for the conduct, substance, and outcome of that engagement.
5.3 Users are responsible for providing accurate information about their matter when booking. LAWL does not review, assess, or screen the content of consultation requests.
5.4 Consultations may be conducted via chat, voice call, video call, or in-person visit (where the Instant Professional Dispatch or doorstep service is available), as selected at the time of booking.
5.5 LAWL’s Instant Professional Dispatch service, where available, uses the User’s GPS location (with explicit consent) to identify and dispatch a nearby Professional. This service is subject to availability in the User’s location.
User Obligations and Prohibited Conduct
6.1 You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:
- Provide false, misleading, or fraudulent information to LAWL or any Professional.
- Use the Platform to harass, abuse, defame, or threaten any Professional or other User.
- Circumvent the Platform to engage Professionals outside of it in order to avoid Platform Fees, after having been introduced through the Platform (for a period of 12 months from the date of introduction).
- Attempt to gain unauthorised access to any part of the Platform or its infrastructure.
- Upload or transmit malicious code, viruses, or harmful data.
- Use the Platform for any purpose that violates applicable law, including the Advocates Act 1961, the IT Act 2000, or the DPDP Act 2023.
- Reproduce, distribute, or commercially exploit any content from the Platform without LAWL’s prior written consent.
6.2 LAWL reserves the right to suspend or terminate your account and refuse service for violation of any of the above.
Professional Standards and Regulatory Compliance
7.1 Advocate profiles on the Platform are maintained in compliance with Rule 36 of the Bar Council of India Rules (2008 amendment, as in force). Profiles display only: name, bar enrolment number and jurisdiction, contact information, educational qualifications, and areas of practice.
7.2 No rankings, star ratings, client testimonials, success-rate claims, case-outcome statistics, or promotional descriptions are permitted on any advocate profile. LAWL does not use the Platform to solicit work on behalf of advocates.
7.3 CA and CS profiles are maintained in compliance with equivalent ICAI and ICSI guidelines.
7.4 LAWL does not provide AI-assisted legal drafting, case triage, or any other AI-powered professional service at present. If such features are introduced in the future, they will be implemented in compliance with applicable Bar Council and regulatory requirements, and Users will be notified.
Payments
8.1 All payments are processed via secure, PCI-DSS compliant third-party payment gateways. LAWL does not store payment instrument data.
8.2 You agree to pay all fees displayed to you before confirming a transaction, including the Platform Fee and any applicable taxes.
8.3 In case of a payment dispute or failed transaction, contact support@lawl.in within 7 days of the transaction date.
8.4 LAWL is not responsible for fees charged by your bank or payment provider.
Cancellations and Refunds
9.1 Users may cancel a confirmed booking subject to the cancellation policy in effect at the time of booking, which is displayed at the point of purchase.
9.2 The Platform Fee component of a transaction is non-refundable except: (a) where the Professional fails to attend the scheduled consultation without rescheduling; (b) where LAWL cancels the booking due to Platform error; or (c) as required by the Consumer Protection Act 2019 or other applicable law.
9.3 Professional fees paid directly for services already rendered are governed by the terms agreed between the User and the Professional and are not refundable by LAWL.
9.4 Refunds, where applicable, will be processed to the original payment instrument within 7 business days.
Intellectual Property
10.1 All content on the Platform — including the LAWL name, logo, software, design, text, and databases — is the exclusive property of LAWL (Legal Automation Work Flow Labs LLP) or its licensors, protected under the Copyright Act 1957, Trade Marks Act 1999, and other applicable intellectual property laws.
10.2 You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purpose. No other rights are granted.
10.3 You retain ownership of any content you upload to the Platform (such as documents for consultation). By uploading content, you grant LAWL a limited licence to process, store, and transmit that content solely to deliver the Services to you.
Limitation of Liability
11.1 LAWL’s aggregate liability to any User for any claim arising out of or in connection with these Terms or the Services shall not exceed the Platform Fee paid by that User for the specific transaction giving rise to the claim, in the 3 months preceding the event giving rise to the claim.
11.2 Nothing in these Terms excludes LAWL’s liability for: (a) death or personal injury caused by LAWL’s negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded by applicable Indian law.
11.3 LAWL is not liable for delays or failures in performance caused by circumstances beyond its reasonable control, including network outages, third-party service failures, acts of government, or force majeure events.
Indemnity
You agree to indemnify, defend, and hold harmless LAWL, its partners, officers, employees, agents, and service providers from and against any claims, losses, damages, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) your breach of these Terms; (c) your violation of any applicable law; or (d) any content you submit through the Platform.
Disclaimers
13.1 The Platform is provided ‘as is’ and ‘as available’. LAWL makes no warranty that the Platform will be error-free, uninterrupted, or free from harmful components.
13.2 LAWL does not warrant the accuracy, completeness, or fitness for purpose of any Professional profile, credential, or content on the Platform. Users are encouraged to independently verify Professional credentials with the relevant regulatory body (Bar Council, ICAI, or ICSI).
13.3 Availability of specific Professionals, service types, or the Instant Professional Dispatch feature is subject to geographic and temporal constraints and is not guaranteed.
Governing Law and Dispute Resolution
14.1 These Terms are governed by and construed in accordance with the laws of India.
14.2 Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiations. Either party may initiate this process by written notice to the other.
14.3 If the dispute is not resolved within 30 days of such notice, it shall be referred to arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties, or in default of agreement, appointed by the competent court. The seat of arbitration shall be Mumbai, Maharashtra. The language of arbitration shall be English. The arbitral award shall be final and binding.
14.4 Nothing in this Section prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction.
14.5 Courts at Mumbai, Maharashtra shall have exclusive jurisdiction over matters not subject to arbitration under these Terms.
14.6 User – Professional Disputes: Any dispute arising directly between a User and a Professional regarding Professional Services is a matter strictly between the User and the Professional. LAWL is not a party to such disputes and has no obligation to adjudicate, mediate, or be bound by any resolution between the User and the Professional. LAWL may, at its sole discretion and without obligation, facilitate communication between the parties or provide relevant platform records to assist resolution.
Termination
15.1 You may close your account at any time by contacting support@lawl.in. Closure does not affect obligations accrued before closure.
15.2 LAWL may suspend or terminate your account and access to the Platform at any time, with or without notice, for: (a) breach of these Terms; (b) fraudulent, abusive, or illegal activity; (c) inactivity exceeding 24 consecutive months; or (d) discontinuation of the Services.
15.3 Upon termination, your licence to use the Platform ceases. Data retention post-termination is governed by LAWL’s Privacy Policy.
Changes to These Terms
LAWL may update these Terms from time to time. For material changes, LAWL will provide at least 15 days’ advance notice via in-app banner or email. Continued use of the Platform after the effective date of any change constitutes acceptance. Where applicable law requires affirmative consent, LAWL will seek it before changes take effect.
General
17.1 Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
17.2 Waiver: LAWL’s failure to enforce any right or provision shall not constitute a waiver of that right or provision.
17.3 Entire Agreement: These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and LAWL regarding the Platform and supersede all prior agreements.
17.4 Assignment: You may not assign your rights under these Terms without LAWL’s prior written consent. LAWL may assign its rights in connection with a merger, acquisition, or sale of assets.
17.5 Notices: Notices to LAWL should be sent to grievance@lawl.in. LAWL may give notice via the Platform or email.
